MetaSource Supplier Code of Conduct

I. SCOPE

This policy establishes a Supplier Code of Conduct for all current and prospective MetaSource Manufacturing Partners, Stockists, Distributors, and Vendors. It applies to any organization or individual supplying raw materials, custom-manufactured parts, or value-added services through the MetaSource.ai platform.

By engaging with MetaSource—whether for a single project or a long-term partnership—suppliers agree to comply with this Code, which sets forth the minimum standards of ethical behavior, legal compliance, and professional conduct required to maintain an active relationship with MetaSource.

II. INTENT

MetaSource is committed to delivering excellence in all areas of its operations by maintaining the highest standards of ethical conduct, legal compliance, and social responsibility. We expect the same level of integrity and professionalism from all our Suppliers, Manufacturers, Stockists, and Partners who engage with us via the MetaSource.ai platform. This Supplier Code of Conduct sets out the minimum expectations for working with MetaSource, regardless of differences in legal or cultural environments.

III. SUPPLIER CODE OF CONDUCT

1. Compliance with Laws, Regulations, and Industry Standards

All MetaSource suppliers must comply with applicable local, national, and international laws, codes, and regulations in the regions where they operate. This includes, but is not limited to:

• Environmental protection regulations
• Labor and employment laws, including fair wages and working hours
• Occupational health and safety standards
• Trade and export control laws
• Anti-corruption and anti-bribery regulations

Suppliers must also ensure that their own suppliers, subcontractors, and third-party partners (including staffing agencies and transporters) uphold the same level of legal and ethical compliance. Failure to meet these standards may result in termination of business engagement with MetaSource.

2. Ethical Business Practices

2.1 Zero Tolerance for Bribes & Kickbacks

MetaSource strictly prohibits any form of bribery, kickbacks, or unethical incentives. Offering, accepting, or soliciting anything of value—such as cash, gifts, commissions, or favors—to influence business decisions will lead to immediate blacklisting and potential legal action.

2.2 Commitment to Fair Dealings

All suppliers must ensure that information, documentation, and certificates submitted are true and accurate. Misrepresentation or falsification will result in immediate removal from the platform and permanent business disqualification.

3. Protection of Platform Integrity

3.1 No Unauthorized Customer Interaction

Suppliers are strictly prohibited from contacting MetaSource customers directly without prior written consent from the MetaSource team. Any unsanctioned communication (including calls, WhatsApp, emails, or site visits) will lead to blacklisting and termination from the vendor list.

3.2 Centralized Communication Only

All business-related communication—pricing, lead times, delivery terms—must occur only through the MetaSource.ai platform. Sharing alternate prices or terms with customers outside the platform will result in disciplinary action.

3.3 Prohibition on Direct Negotiation

Suppliers are not allowed to negotiate directly with customers on any aspect of the enquiry, quote, PO, or order process. All negotiations must be routed via MetaSource. Breaching this clause will result in immediate vendor delisting.

4. Transparency & Accountability

4.1 Honest Quotation Practices

Vendors must ensure that all submitted quotes are clear, complete, and final. Misleading pricing or offline deviations from quotes submitted on the platform will be considered a serious ethical violation.

4.2 Misuse of Platform is Strictly Prohibited

Any attempt to divert MetaSource-generated leads or business offline is strictly prohibited and will be treated as fraudulent behavior, subject to permanent blacklisting and legal proceedings.

5. Confidentiality & Professional Conduct

All documents, prices, enquiries, and shared discussions are to be treated as confidential and proprietary. Suppliers are expected to maintain the highest level of professionalism, respect agreed timelines, and follow platform protocols during all interactions.

6. Consequences for Non-Compliance

Violating this Code of Conduct may result in the following penalties:

• Immediate suspension or permanent ban
• Cancellation of all ongoing or future orders
• Disqualification from future projects or listings
• Legal action and financial recovery (if applicable)

VI. Monitoring and Compliance

MetaSource expects all registered Suppliers, Manufacturers, and Partners to ensure full compliance with this Supplier Code of Conduct and all applicable legal requirements. Suppliers must actively monitor their operations to identify and mitigate any potential risks, and take prompt corrective actions whenever deviations are found. Continuous improvement in ethical and operational practices is a shared responsibility.

To uphold transparency and accountability, MetaSource.ai or its designated representatives may conduct compliance checks, including but not limited to:

• On-site inspections
• Review of documents and certifications
• Questionnaires or audits
• Monitoring public disclosures or third-party reports

Suppliers are expected to cooperate fully with these evaluations. Any MetaSource team member, customer, or supplier who becomes aware of a violation is obligated to report it to the MetaSource Supply Chain or Vendor Management team immediately.

MetaSource reserves the right—without any liability—to suspend, delist, or permanently terminate any relationship with a Supplier found in violation of this Code, in addition to pursuing legal or contractual remedies if necessary.

VII. Platform Terms Clarification

MetaSource provides technology-based services and acts as an intermediary for facilitating:

• (i) On-demand raw material & manufacturing services via supply chain coordination,
• (ii) Pick-up and drop-off of packages using third-party service providers,

(collectively referred to as "Services"), along with other support services like order management, quotation handling, and payment processing, offered through the official company website and mobile application—“metasource.ai” (together referred to as the "Platform").

By engaging in business through MetaSource, vendors agree to respect the rules of the Platform, ensure ethical use of the Services, and maintain trust with customers and stakeholders.

VIII. Acknowledgement & Acceptance

By registering and conducting business with MetaSource, you acknowledge and accept the Supplier Code of Conduct and agree to abide by these policies from the day of onboarding.

V. Termination

MetaSource reserves the right to terminate its engagement with any Supplier, Manufacturer, Vendor, or Partner registered on the MetaSource.ai platform at any time and with immediate effect, at its sole discretion, under the following conditions:
